Pursuant to Section 29.3a of the Rules of Giełda Papierów Wartościowych w Warszawie S.A. [Warsaw Stock Exchange], Grupa Kęty Spółka Akcyjna discloses information regarding an incidental breach of ‘The Best Practice 2021’.
GENERAL MEETING AND RELATIONS WITH SHAREHOLDERS
4.9.1. Candidates for Members of the Supervisory Board should be reported in due advance for the shareholders present at the General Meeting to make an informed decision and in any case not later than 3 days before the General Meeting; the names of the candidates and all related documents should be immediately published on the Company’s website.
The Principle has been breached incidentally.
Comments of the Company to the incidental breach of the above principle:
The Management Board of Grupa Kęty S.A. hereby informs that on 27 May 2024, i.e. at two days before the date of the Annual General Meeting, a shareholder of the Issuer reported their candidate for a Member of the Supervisory Board, which resulted in an incidental breach of Principle 4.9.1 of ‘The Best Practice 2021’, stating that candidates for Members of the Supervisory Board should be reported in due advance for the shareholders present at the General Meeting to make an informed decision and in any case not later than 3 days before the General Meeting; the names of the candidates and all related documents should be immediately published on the Company’s website.
The Management Board of Grupa Kęty S.A. also informs that in the announcement on the convening of the Annual General Meeting for the day of 29 Mary 2024, the Company requested the shareholders to abide by Principle 4.9.1 of ‘The Best Practice 2021’, and suggested that the shareholders report their candidates for Members of the Supervisory Board at 3 days before the AGM at the latest.
In the last two years there were no cases of incidental breaching of the principle.
