The Management Board of Grupa Kęty S.A. hereby informs that on 26th April 2016, they have been informed about the conclusion, by its subsidiary ALUFORM Sp. z o.o. based in Tychy, of 100 % business share and the sale and assignment of claims against AHA EMMI Predelava aluminija, d.o.o. based in Slovenska Bistrica in Slovenia from its owner, namely BAMC d.d. (Bank Assets Management Company).
As part of the transaction, ALUFORM will acquire 100% business share of AHA EMMI and financial claims against the company for the total price of 2,5 million EUR. The agreement was concluded upon several conditions precedent of which the most important is notification of which the most important is notification of the transaction to the Slovenian Competition Protection Agency (SCPA).
Conditions precedent should be fulfilled at the latest within two months from the conclusion of the agreement). The core business of AHA EMMI is the surface and CNC machining of aluminium profiles for customers producing hous revenue of 23,3 million EUR and ehold appliances, furniture and interior furnishings. AHA EMMI in 2015 generated sales revenue of 23,3 million EUR and EBITDA of 0,7 million EUR; its total financial liabilities as at the end of and the headcount was 343 employees.
ALUFORM operates in Grupa Kęty Group in the Extruded Products Segment (EPS), which, as part of its strategy, gradually increases the share of processed profiles in total sales. Owing to the transaction, the EPS will increase the sale to customers from key areas of the operation of AHA EMMI.
