With reference to current report No. 5/2024 of 2 April 2024 (hereinafter referred to as the ‘Report’), the Management Board of Grupa Kęty S.A. (hereinafter referred to as the ‘Company’ or the ‘Issuer’) hereby informs about receiving a notification that on 10 July 2024 based on the settlement orders referred to in § 6 of the Detailed Principles of Operation of the KDPW, the KDPW Securities Depository registered 1,700 K series ordinary bearer shares of the Company (hereinafter referred to as the ‘Shares’) of the nominal value of PLN 2.50 each, identified with the ISIN code: PLKETY000060, taken up by way of conditional share capital increase, as a result of exercising the rights on subscription warrants previously taken up by the employees of the Issuer’s Capital Group in accordance with the adopted Management Options Plan, as referred to in the Report.
As a result of the above registration of the Shares by the KDPW Securities Depository accordingly to Articles 451.2 and 452.1 of the Code of Commercial Companies, shares were issued and the Company’s share capital was increased by PLN 4,250 (say: four thousand two hundred and fifty zlotys 00/100).
After the increase, the share capital of the Company amounts to PLN 24,334,130 (say: twenty four million three hundred thirty four thousand one hundred and thirty zlotys 00/100) and is divided into 9,733,652 shares with the nominal value of PLN 2.50 each. The total number of votes resulting from all shares of the Company is 9,733,652.
The amount of the conditional increase of the share capital after the aforesaid shares had been issued is PLN 2,637,777.50 (say: two million six hundred thirty seven thousand seven hundred seventy seven zlotys 50/100).
Pursuant to Article 452.4 of the Code of Commercial Companies, the Management Board of the Issuer will submit to the Court of Registration a list of K series shares taken up registry court by the deadline set forth for such submissions, in order to update the entry of the Company’s share capital in the Register of Entrepreneurs of the National Court Register (KRS).
