In reference to the current reports No 25/2024 of 14 June 2024 and 31/2024 of 18 July 2024, the Management Board of Grupa Kęty S.A. (hereinafter referred to as the Issuer) wishes to inform that on 21 August 2024 it received information from its attorney that the Austrian Federal Office for Competition Protection and the Federal Ombudsman for Cartels failed to file an application to the Antitrust Court with regard to examination of the intent of concentration by way of control takeover of SELT Sp. z o.o. (hereinafter referred to as the Company) by the Issuer, which is equivalent to voiding the temporary ban on effecting the concentration and fulfilment of the second additional condition of the preliminary conditional agreement on the purchase of shares in the Company (hereinafter referred to as the Agreement).
With regard to fulfilment of all preconditions and additional conditions set forth in the Agreement, and taking into account the absence of need to fulfil the first of the additional conditions, about which the Issuer informed in current report No. 31/2024 of 18 July 2024, the parties to the Agreement shall take the steps aimed at the conclusion of the promised agreement of sale of shares in the Company and closure of the transaction, which should take place on or before the 15th business day of informing the sellers about the fulfilment of the last additional condition.
