Decision of the Company Management Board on acceptance of the terms and conditions of a credit limit agreement

The Management Board of Grupa Kęty S.A. (hereinafter referred to as the Company or the Issuer) informs that on 19 October 2021 it made a decision on the acceptance of the terms and conditions presented by Bank POLSKA KASA OPIEKI S.A. (hereinafter referred to as the Bank) with regard to a credit limit agreement (hereinafter referred to as the Agreement) in the total amount of PLN 300 million, to which parties, apart from the Issuer, are its subsidiaries, i.e. Alupol Packaging S.A., Aluprof S.A., Aluform sp. z o.o., Alupol Packaging Kęty sp. z o.o., Alupol Films sp. z o.o., Aluminium Kety Emmi Predelava aluminija, d.o.o., Alupol Packaging S.A, Glassprof sp. z o.o. (hereinafter jointly referred to as the Borrowers).

The credit limit will be rendered available as at the date of fulfilment of the terms and conditions set forth in the Agreement, until 29 October 2022, and will be allocated to the financing of the current activities of the Borrowers. The interest on the credit will be calculated in reference to the base rate for the currency in which it is going to be drawn, within the available limit, plus the Bank margin, and will be charged for the period of the actual credit utilisation.

The Borrowers shall be jointly and severally liable for the payables under the limit granted to them under the Agreement, whereas the Issuer shall be liable to the full value of the limit granted. The credit repayment will be secured with:

  • a power of attorney granted to the Bank by each of the Borrowers to dispose of all current accounts of the respective Borrowers kept by the Bank;
  • a promissory not and promissory note declaration issued by each of the Borrowers, with liability to the value of 110% of the credit limit granted.

The credit limit under the Agreement shall replace the finance granted by the Bank under the agreement informed about by the Issuer in the current reports: 32/2018 of 29 October 2018, 29/2019 of 29 October 2019, and 49/2020 of 15 October 2020.
