Consent of the President of the Office of Competition and Consumer Protection [UOKiK] to carry out concentration through the acquisition by Grupa Kęty S.A. of control over SELT Sp. z o.o. and receipt of information with regard to the absence of need to meet one of the additional conditions provided for in the agreement

With reference to current report No. 25/2024 of 14 June 2024 (hereinafter referred to as the “Report”), the Management Board of Grupa Kęty S.A. (hereinafter referred to as the “Issuer”) hereby informs that on 18 July 2024 it received information from the Issuer’s proxy that the President of the Office of Competition and Consumer Protection had given its consent to concentration consisting in acquisition of control over SELT Sp. z o.o. (hereinafter referred to as the “Company”) by the Issuer, and thus the condition precedent of the preliminary conditional agreement on the acquisition of shares in the Company (hereinafter referred to as the “Agreement”) has been fulfilled.

At the same time, on the basis of the analyses carried out and the opinions obtained, the Issuer informs that there is no need to obtain approval for the concentration from the antitrust office in the Czech Republic, had been indicated in the Agreement as one of the two additional conditions, therefore the transaction is subject to obtaining approval for the concentration from the antitrust office in Austria by 7 October 2024.
