The Management Board of Grupa Kęty S.A. (hereinafter referred to as the Company or the Issuer), in reference to the current report No. 40/2025 of 16 December 2025 (hereinafter referred to as the Report), notifies about obtaining information that on 11 March 2026, based on the settlement orders referred to in § 6 of the Detailed Principles of Operation of KDPW [Central Securities Depository of Poland], in the Securities Depository kept by KDPW there were registered 1,285 L series ordinary bearer shares of the Company (hereinafter referred to as the Shares) of the nominal value of PLN 2.50 each, identified with the ISIN code PLKETY000102, which were taken-up under the conditional share capital increase as a result of exercising the rights under the previously acquired subscription warrants by the employees of the Issuer’s Capital Group, in compliance with the adopted management options plan referred to in the aforesaid Report.
As a result of the said registration of the Shares by the KDPW, accordingly to Articles 451.2 and 452.1 of the Code of Commercial companies, there were allocated shares and the share capital of the Company was increased for the amount of PLN 3,212.50 (say: three thousand two hundred and twelve zlotys 50/100).
After the increase, the share capital of the Company amounts to PLN 24,606,032.50 (say: twenty four million six hundred and six thousand thirty two zlotys 50/100) and is divided into 9,842,413 shares of the nominal value of PLN 2.50 each. The total number of votes resulting from all shares of the Company is 9,842,413.
The value of the conditional share capital increase after the issue of the said shares is PLN 2,815,875.00 (say: two million eight hundred and fifteen thousand eight hundred and seventy five zlotys 00/100).
In accordance with Article 452.4 of the Code of Commercial Companies, the Management Board of the Issuer shall report the list of L series shares taken up to the registration court at the prescribed date in order to update the entry of the Company share capital in the Register of Entrepreneurs of the National Court Register.
