Notification about exceeding 5% of the total number of votes

The Management Board of Grupa Kęty S.A. (hereinafter ‘the Company’) hereby notifies that, on 7 September 2017, it received the notification issued under Article 69.1.1 of the Polish Act on Public Offer and the Conditions for Introducing Financial Instruments to an Organised Trading System and on Public Companies, from Aegon Powszechne Towarzystwo Emerytalne S.A.  (hereinafter ‘the Management Company’), which so far has managed only Aegon Otwarty Fundusz Emerytalny (hereinafter ‘Aegon OFE’) that, on 1 September 2017, it took over the management of Nordea Otwarty Fundusz Emerytalny (hereinafter ‘Nordea OFE’), which resulted in the situation in which the total share of the funds managed by the Management Company, i.e. Aegon OFE and Nordea OFE, in the total number of votes at the General Meeting of Shareholders of Grupa Kęty S.A. has exceeded 5% of votes.

Prior to the aforementioned taking over of the management:

1. Aegon OFE held 218,938 shares of the Company, representing 2.31% of its share capital and entitling to 218,938 votes, i.e. 2.31% of the total number of votes.
2. Nordea OFE held 372,928 shares of the Company, representing 3.93% of its share capital and entitling to 372,928 votes, i.e. 3.93% of the total number of votes.
3. Following the take-over of the management of Nordea OFE, as at 1 September 2017, both funds managed by the Management Company hold the total of 591,866 shares of the Company, representing 6.24% of its share capital and entitling to 591,866 votes, i.e. 6.24% of the total number of votes
